Frost Legal is seeking an experienced Assistant Company Secretary to join their dynamic legal team in Glasgow. This is a pivotal role in shaping world-class corporate governance across a global portfolio of over 50 subsidiaries, supporting the Group Company Secretary and Legal Leadership Team.
The ideal candidate will act as a trusted expert in company secretarial services, ensuring compliance with the UK Companies Act, driving governance improvements, and supporting corporate transactions and restructures. This role offers a unique opportunity to make a high-impact contribution to a growing, global brands business.
Advise on the UK Companies Act, corporate governance regulations, and best practices.
Manage statutory registers, filings, board minutes, and provide direct board support.
Coordinate international company secretarial networks and maintain accurate records.
Support corporate transactions including acquisitions, disposals, and restructures.
Anticipate and prepare for governance trends and regulatory changes.
Lead process improvements to enhance governance frameworks across the Group.
Mentor and provide guidance to junior team members.
Oversee the implementation and adoption of entity management software.
Proven experience in company secretarial roles with a focus on UK corporate governance.
In-depth understanding of the UK Companies Act and related regulations.
Strong organizational, mentoring, and communication skills.
Experience in managing governance for international subsidiaries is advantageous.
Ability to work effectively in a professional, dynamic, and high-performing team environment.
Competitive salary of £55,000 – £60,000 plus benefits.
