Funds Governance Manager

 

Description:

M&G plc, a global savings and investment company with over 170 years of legacy, is looking to hire a Funds Governance Manager to support its investment governance and secretariat operations. The successful candidate will serve as a Company Secretary and play a key role in supporting real estate fund structures and investment subsidiaries. This is a hybrid full-time role based in London.

The role directly reports to the Head of MGRE Secretariat and provides legal, statutory, and governance-led advisory services for investment funds and their underlying real estate structures. This includes both regulated and unregulated entities across multiple jurisdictions such as the UK, Europe, Jersey, and North America.


Key Responsibilities:

  • Oversee legal and corporate governance operations across various investment structures.

  • Collaborate with internal teams (e.g., transaction managers, asset managers, fund operations) and external advisors (e.g., lawyers, accountants) to ensure compliance and execution of transactions.

  • Advise on fund structuring, regulatory obligations, and governance frameworks.

  • Ensure accuracy in statutory records, filings, and compliance with the Companies Act 2006, Limited Partnership Act 1907, and other laws.

  • Serve as company secretary for UK fund general partners and other entities, arrange board meetings, prepare board packs, and draft minutes and resolutions.

  • Manage director appointments, resignations, and maintain accurate director and shareholding records using Diligent Entities.

  • Support offshore entities with UK legal input and coordinate with global secretarial service providers.

  • Lead the liquidation process of dormant subsidiaries and participate in drafting internal governance policies and authority frameworks.

  • Monitor board composition, handle conflicts of interest, and oversee document execution protocols including power of attorney renewals.

  • Support directors involved in JVs and external entities by providing legal guidance and training coordination.


Key Knowledge, Skills & Experience:

  • 6+ years in a governance or company secretarial role

  • Strong understanding of UK corporate governance codes, regulatory frameworks, and investment governance

  • Expert-level knowledge of UK company law, including:

    • Companies Act 2006

    • Limited Partnership Act 1907

    • Economic Crime and Corporate Transparency Act 2023

  • Proficiency in statutory recordkeeping, Companies House filings, and governance software (especially Diligent Entities and Diligent Boards)

  • Skilled in drafting agendas, minutes, resolutions, and managing board/committee meetings

  • Experience in facilitating corporate transactions, mergers, JVs, and SPV incorporations

  • Strong interpersonal skills with the ability to engage with senior leadership, stakeholders, and external providers

  • High integrity, confidentiality, and analytical thinking

  • Excellent communication and time management skills

  • Comfortable working independently and in cross-functional teams
