General Banking Lawyer

Description:

Gowling WLG is seeking an experienced Banking & Finance Lawyer (5-8 PQE) to join our leading Banking and Finance team in Birmingham or London. This is an exciting opportunity to work on UK and international mid-market financing transactions across various sectors, including renewable energy, infrastructure, real estate, social housing, private equity, financial services, technology, healthcare, retail, aerospace, and defence.

As part of our international sector-based law firm, you will handle a broad range of domestic and cross-border transactions, representing funders and borrowers in acquisition finance, corporate lending, asset/receivables finance, project finance, derivatives, and debt capital markets.

Key Responsibilities:

✔ Act for banks, borrowers, and private equity houses on mid-market and investment-grade syndicated and bilateral banking transactions.
✔ Draft and negotiate loan facility agreements (senior and mezzanine), security documents, intercreditor agreements, and ancillary documentation.
✔ Advise on leveraged acquisition finance transactions and corporate lending transactions (representing both lenders and borrowers).
✔ Draft and negotiate project finance documentation.
✔ Provide legal counsel on asset-backed and receivables finance transactions.
✔ Handle cross-border transactions, including managing overseas legal counsel and negotiating legal opinions.
✔ Advise on ISDA and other hedging and credit support documentation.
✔ Support financial restructuring and work closely with the restructuring and insolvency team.
✔ Work collaboratively with other teams in corporate, real estate, pensions, and construction to ensure seamless legal services.

Candidate Requirements:

✔ Qualified Solicitor (5-8 PQE) with strong experience in Banking & Finance Law.
✔ Strong technical knowledge and ability to run high-value transactions with minimal partner supervision.
✔ Excellent drafting and negotiation skills, with experience in key banking and finance documents.
✔ Commercial awareness and ability to offer pragmatic, solution-focused legal advice.
✔ Ability to work independently and collaboratively within a dynamic, high-performing team.
✔ Experience in business development, including building client relationships and identifying new business opportunities.
✔ Strong communication and interpersonal skills—you will be a key representative of Gowling WLG.
