Description:

Cleveland & Co, a dynamic outsourced in-house legal team specializing in the investment management industry, is seeking a highly skilled Paralegal to join its Private Markets practice. This is a unique opportunity for an experienced professional who is eager to take on greater responsibility, contribute meaningfully to client strategy, and accelerate their career within a fast-paced and collaborative environment.

The role is designed for a motivated paralegal with at least 5 years of experience who is ready for a career step-change. You will work directly with clients across private equity, real estate, hedge funds, infrastructure, and other private market sectors, handling complex matters and making tangible impact.

Key Responsibilities:

• Drafting and reviewing private market fund documentation such as LPAs, subscription agreements, and side letters.

• Supporting on transactional documents, including share/asset purchase agreements, NDAs, and term sheets.

• Providing legal advice on private equity, real estate, infrastructure, hedge funds, and cross-border investments.

• Conducting legal research on private markets, fund structuring, and regulatory requirements.

• Drafting and reviewing agreements covering regulated activities.

• Preparing investment management and advisory agreements.

• Assisting with compliance across regulatory frameworks (AIFMD, GDPR, AML, MAR).

• Writing and contributing to legal articles to support thought leadership.

Required Skills and Criteria:

• Strong working knowledge of at least two or more of the following: private market funds, investment management, financial services regulation, GDPR/AML/MAR, corporate matters, and commercial contracts.

• Excellent attention to detail, legal drafting, and summarisation skills.

• Confidence in reviewing commercial contracts.

• English fluency (spoken and written).

• Proactive, independent, resourceful, and deadline-driven.

• Strong interpersonal skills and ability to work with diverse personality types and seniority levels.

• Professional, discrete, and collaborative approach.

• Solid knowledge of MS Office and ability to work in a MacBook-based (BYOA) environment.

Work Setup:

• Full-time, in-office role at London Bridge office (Monday–Thursday in-office, Friday remote).

• This is not a placement role—you will be part of Cleveland & Co’s core legal team.
