Our client, a respected entity in the insurance sector, is seeking an experienced Company Secretary to lead and enhance their governance framework. This hybrid role offers the opportunity to shape the governance landscape and ensure compliance while fostering a culture of transparency and accountability within the company.
As the Company Secretary, your responsibilities will include:
Governance Leadership: Advising the Board and its Committees, ensuring statutory obligations are met and promoting best practices in corporate governance.
Board Facilitation: Organizing and managing Board meetings, including setting agendas, taking minutes, and ensuring effective communication between the Board and management.
Regulatory Compliance: Staying updated with legal and regulatory changes, ensuring timely filings with regulatory bodies such as Companies House.
Statutory Record Maintenance: Maintaining accurate records of statutory registers, directors, shareholders, and other key stakeholders.
Strategic Collaboration: Collaborating with senior leadership to align governance strategies with the company’s objectives.
Ideal Candidate Profile:
Qualifications: Qualified solicitor with substantial post-qualification experience, preferably in financial services or insurance sectors.
Experience: Proven experience in a Company Secretary role, with a strong understanding of corporate governance frameworks and legal compliance.
Skills: Exceptional communication and interpersonal skills, with the ability to influence and advise at all levels of the organization.
