Description:
Isio is seeking a skilled and experienced HR Manager – M&A Lead to join its growing HR function. This pivotal role will take ownership of managing all people-related aspects of Mergers & Acquisitions (M&A), including TUPE transfers, HR due diligence, organisational integration, and employee engagement throughout the transaction lifecycle.
The successful candidate will act as a strategic partner to the business, working closely with senior leadership and cross-functional teams including Legal, Risk, Finance, and IT, ensuring all HR implications are proactively identified and managed. The role also includes elements of Employee Relations and HR Process Management between deals, supporting consistency and operational efficiency across the organisation.
Pre-Deal (Due Diligence & Structuring):
Conduct comprehensive HR due diligence, identifying risks and opportunities
Analyse employment structures, compensation, pensions, and regulatory concerns
Collaborate with legal to assess TUPE obligations and input into deal structuring
Provide structured reports and recommendations for risk mitigation
Deal Execution & TUPE:
Lead all Day 1 HR activities and ensure successful execution of the transaction
Manage full TUPE lifecycle, including consultations and employee communications
Coordinate with employee representatives and support post-transfer processes
Post-Deal Integration / Separation:
Define and implement integration/separation strategies aligned with business goals
Harmonise employment terms, policies, and organisational design
Coordinate with Reward, Payroll, and HR systems teams for readiness and accuracy
Change Management:
Drive onboarding, engagement, and cultural alignment for acquired teams
Identify retention risks and communicate effectively during transitions
Work with internal Comms teams to ensure consistent and empathetic messaging
Strategic & Operational Leadership:
Serve as a trusted HR advisor to senior stakeholders
Develop and refine repeatable HR playbooks and frameworks for M&A execution
Track and report on HR milestones and deal outcomes
Employee Relations & BAU:
Manage ER cases with internal HR services, ensuring compliance and fairness
Provide general HR support during quieter periods
Promote consistent HR policy application across teams
Degree in HR, Law, Business, or related field
CIPD Level 7 or equivalent (strongly preferred)
Strong knowledge of UK employment law and TUPE
Exceptional organisational, project management, and senior stakeholder engagement skills
High integrity, discretion, and capability in handling sensitive data
Strong Microsoft Office proficiency and data analysis capability
Exposure to high-impact M&A activity in a fast-growing, PE-backed professional services firm
